Acknowledgement and Waiver

By purchasing, accessing, or using the Services provided by AEGI.Lab Pty Ltd, you:

(a) Irrevocably acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, whether or not you have read them in full;

(b) Waive any right to claim that you were not aware of, did not understand, or did not consent to any provision contained herein;

(c) Accept that it is your sole responsibility to review these Terms prior to purchase and that continued use of the Services constitutes ongoing acceptance;

(d) Acknowledge that no verbal, written, or implied statements made by AEGI.Lab Pty Ltd or its representatives shall modify or override the provisions contained in this document unless expressly agreed to in writing by a duly authorised officer of AEGI.Lab Pty Ltd.

1. Definitions and Interpretation

1.1 Definitions: For the purposes of these Terms and Conditions (“Terms”), unless the context otherwise requires:

• Services means all services provided by AEGI.Lab Pty Ltd including, without limitation, online personal colour analysis, provision of digital reports, draping reports, and any associated consultation or content.
• Digital Results includes but is not limited to the AEGI.Lab Digital Results, AEGI.Lab Draping Report, and any derivative, variant, or modified version thereof, whether hosted, downloadable, or provided through any medium.
• Intellectual Property means all copyright, trademarks, service marks, trade names, designs, patents, processes, methods, concepts, templates, reports, photographs, colour palettes, draping processes, graphics, and all related rights owned or licensed by AEGI.Lab Pty Ltd.
• Customer, You, or Your means any individual or entity purchasing, accessing, or using the Services.

1.2 Interpretation: References to legislation include any amendment, consolidation, or re-enactment thereof. Headings are for convenience only and do not affect interpretation.

2. Acceptance of Terms

2.1 By purchasing or otherwise engaging with the Services, you acknowledge and agree that you have read, understood, and accept these Terms in their entirety, regardless of whether you have read them in full.

2.2 You warrant that you are at least 18 years of age, or have obtained the consent of a legal guardian, and have the legal capacity to enter into binding agreements.

3. Provision of Services

3.1 The Services provided are subjective professional opinions based on the methodologies employed by AEGI.Lab Pty Ltd. No representation, warranty, or guarantee is made as to the completeness, accuracy, or suitability of any analysis or recommendations for any specific purpose.

3.2 All delivery timeframes commence only upon full completion and submission of the AEGI Personal Colour Analysis (PCA) online form, including the provision of all required photographs, information, and materials, and acceptance by AEGI.Lab Pty Ltd.

4. Digital Results and Access Limitations

4.1 No Perpetual Access Guarantee: You acknowledge and agree that AEGI.Lab Pty Ltd makes no warranty, representation, or guarantee—express or implied—regarding the ongoing availability, accessibility, or permanence of any Digital Results or Draping Reports.

4.2 Future Fees and Conditions: AEGI.Lab Pty Ltd reserves the right, at its sole discretion, to impose subscription fees, renewal charges, access fees, or other conditions for continued or renewed access to Digital Results at any time, without obligation to provide prior notice.

4.3 Customer Responsibility for Retention: It is expressly the sole responsibility of the Customer to download, photograph, save, or otherwise retain copies of any Digital Results upon delivery. AEGI.Lab Pty Ltd expressly disclaims any obligation to maintain, archive, or reissue Digital Results after initial provision.

4.4 Service Discontinuation: AEGI.Lab Pty Ltd reserves the unilateral right to modify, suspend, or permanently discontinue any hosting services or delivery platforms related to the Digital Results, whether for operational, commercial, or any other reasons, without liability to the Customer.

5. Intellectual Property Rights

5.1 Ownership: All Intellectual Property created, developed, displayed, or otherwise provided under or in connection with the Services remains the sole and exclusive property of AEGI.Lab Pty Ltd.

5.2 Licence for Personal Use: Upon full payment of the applicable fee, AEGI.Lab Pty Ltd grants you a non-exclusive, non-transferable, revocable licence to use the Digital Results strictly for personal, non-commercial purposes only.5.3 Prohibited Uses: Without limitation, you must not:

(a) reproduce, republish, distribute, or publicly display any Intellectual Property without the express prior written consent of AEGI.Lab Pty Ltd;
(b) alter, adapt, modify, or create derivative works from any Intellectual Property;
(c) use any Intellectual Property for commercial purposes, including resale, sublicensing, or unauthorised consultancy;
(d) remove, obscure, or alter any proprietary notices, disclaimers, or marks.

6. Limitation of Liability

6.1 To the maximum extent permitted by applicable law, AEGI.Lab Pty Ltd shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with:

(a) loss of access to Digital Results;
(b) removal, suspension, or deletion of hosted materials;
(c) any reliance on the subjective recommendations of the Services;
(d) delays, interruptions, or errors in delivery;
(e) any incompatibility between Digital Results and Customer devices or software.

6.2 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

7. No Guarantee of Outcome

7.1 The Services are advisory in nature. You acknowledge that personal colour analysis involves subjective professional judgment and interpretation, and results may vary from personal expectations.

7.2 AEGI.Lab Pty Ltd provides no warranty that following any recommendations will result in improved personal styling, appearance, satisfaction, or any other outcome.

8. Indemnity

8.1 You agree to indemnify, defend, and hold harmless AEGI.Lab Pty Ltd, its officers, employees, contractors, and agents from any and all claims, liabilities, losses, damages, costs, and expenses (including legal costs on a full indemnity basis) arising directly or indirectly from:

(a) your breach of these Terms;
(b) misuse of the Services;
(c) any unauthorised use of AEGI.Lab Intellectual Property.

9. Termination

9.1 AEGI.Lab Pty Ltd may terminate your access to Services, including Digital Results, at any time without notice if you breach these Terms, misuse the Services, or engage in conduct detrimental to AEGI.Lab Pty Ltd.

10. Amendments and Variation

10.1 AEGI.Lab Pty Ltd reserves the right to amend, modify, or replace these Terms at its sole discretion. Continued use of the Services following such amendments constitutes acceptance of the updated Terms.

11. Governing Law, Jurisdiction, and Dispute Resolution

11.1 These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AEGI.Lab Pty Ltd is incorporated (Australia), without regard to its conflict of laws principles.

11.2 You agree that any disputes, claims, or proceedings arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Australia, unless mandatory consumer protection laws in your country of residence provide otherwise.

11.3 International Dispute Resolution: If you are located outside Australia, and where permitted by applicable law, any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, interpretation, performance, or termination thereof, shall be finally resolved by binding arbitration under the UNCITRAL Arbitration Rules in force at the time of the dispute. The seat of arbitration shall be Sydney, Australia, the language of the arbitration shall be English, and the decision of the arbitrator(s) shall be final and binding on the parties.

11.4 Consumer Rights Preservation: Nothing in these Terms limits, excludes, or overrides any mandatory statutory rights or remedies available to you under the consumer protection laws of your country of residence, including (where applicable) rights under the Australian Consumer Law, the UK Consumer Rights Act 2015, EU consumer protection directives, or US federal and state consumer laws.

12. Refund and Return Policy (Incorporated by Reference)

12.1 No Refunds: All sales are final. Given the personalised, digital nature of the Services, no refunds, cancellations, or exchanges are offered under any circumstances, including but not limited to change of mind, dissatisfaction with results, or customer error in providing information.

12.2 This clause applies internationally and is subject only to any mandatory statutory rights in your country of residence that cannot be lawfully excluded.

13. Shipping & Delivery Policy (Incorporated by Reference)

13.1 Delivery timeframes commence only after you have fully completed and submitted the AEGI Personal Colour Analysis (PCA) online form with all required photographs and information.

13.2 Standard delivery is free and completed within 3–5 business days; Priority within 2–3 business days; Express within 24 hours. All delivery timeframes are guaranteed—if we fail to deliver within the selected timeframe, the additional fee paid for the upgraded delivery will be refunded.

13.3 Digital Results are delivered via email; you must check your junk or spam folder.

14. Severability

14.1 If any provision of these Terms is held to be invalid, unenforceable, or illegal, such provision will be severed, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

15.1 These Terms constitute the entire agreement between you and AEGI.Lab Pty Ltd with respect to the Services and supersede all prior or contemporaneous communications, representations, or understandings.
